This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Carrot Software Inc. (“Carrot”, “we”, “us”, or “our”) regarding your use of the 86 mobile and web applications (“Software”) and associated services and content (“Services”).

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Carrot grants you a non-exclusive, non-transferable, revocable, and limited license to use the Software solely for your business or professional use in accordance with this Agreement and our Terms and Conditions.

2. Ownership and Intellectual Property

The Software and all intellectual property rights therein are owned by Carrot Software Inc. This includes source code, visual design, branding, and related content (excluding user-generated content).

Nothing in this Agreement grants you ownership or other rights beyond the limited license outlined here.

3. Restrictions

You may not:

• Modify, reverse-engineer, decompile, or disassemble the Software

• Copy, rent, sublicense, or distribute the Software

• Use the Software in any unlawful or unauthorized manner

• Attempt to bypass any security or licensing features

4. User-Generated Content

Paid users may publish business-related content (e.g. event listings, text, images). You retain ownership of your content but grant Carrot a non-exclusive, royalty-free license to use, reproduce, and display it within the platform.

You agree not to submit content that is defamatory, illegal, infringing, or otherwise objectionable.

5. Subscriptions and Payments

Certain features require a paid subscription. A free trial may be offered, after which fees apply unless you cancel before the trial ends.

Payments are processed via RevenueCat and governed by the terms of your device’s app store.

6. Software Updates

Carrot may issue updates or improvements to the Software. These may be installed automatically and are governed by this Agreement.

7. Termination

This license is effective until terminated. Carrot may suspend or revoke your license if you breach this Agreement. Upon termination, you must delete all copies of the Software from your devices.

8. Disclaimers

The Software is provided “as is” and without warranties of any kind. Carrot does not guarantee performance, availability, or reliability.

9. Limitation of Liability

To the fullest extent permitted by law, Carrot is not liable for:

• Loss of business or revenue

• Indirect or consequential damages

• Any claims related to use or inability to use the Software

10. Governing Law

This Agreement is governed by the laws of the Province of Ontario and applicable federal laws of Canada. Any legal disputes shall be resolved in Ontario courts.
